Restrictive Covenants

A restrictive covenant is generally a clause contained in an employment contract prohibiting an employee from competing with his or her former employer once the employee has left the business.

Types of Restrictive Covenants

Many employers seek to include restrictive covenants in employment contracts. restrictive covenants may take the form of non-competition covenants, non-dealing covenants, non-solicitation covenants, or non-poaching covenants.

It is important that specialist advice is taken when drafting or negotiating the employment contract as there is a risk that restrictive covenants may not be enforceable if they are drafted too widely.
